2. Nature of the Platform

OpenFunds.app is a crowdfunding facilitation platform. We provide the technology and infrastructure for individuals and organizations to raise funds. We are NOT: • A bank or financial institution • A charity or nonprofit organization • An investment advisor or broker-dealer • A guarantor of campaign outcomes OpenFunds is a for-profit technology company that charges a 5% platform fee on successfully raised funds. Payment processing fees are charged separately by payment processors.

3. No Guarantee of Outcomes

OpenFunds does not guarantee that: • Any campaign will reach its funding goal • Funds will be used as described by the campaign organizer • Donor benefits (services, discounts, equity) promised by campaigns will be fulfilled • Campaign organizers will achieve the professional goals stated in their campaigns While we make reasonable efforts to verify campaign information, we cannot independently verify all representations made by campaign organizers. Donors are encouraged to review campaigns carefully before donating.

4. Tax Considerations

IMPORTANT: Donations made through OpenFunds.app are generally NOT tax-deductible as charitable contributions unless the recipient is a registered 501(c)(3) organization. OpenFunds will indicate on any campaign page whether contributions are tax-deductible. It is your responsibility to determine the tax treatment of your donation. We recommend consulting a qualified tax advisor. For company campaigns, investments or donations may have different tax treatment. Please consult a tax professional.

5. Anti-Money Laundering & Compliance

OpenFunds complies with applicable anti-money laundering (AML) and know-your-customer (KYC) regulations. We may require identity verification for: • Campaign organizers receiving funds above certain thresholds • Donors making large contributions • Any transaction flagged by our fraud detection systems Anonymous donations are processed in compliance with applicable law. While donor identity is not shared with campaign organizers, OpenFunds maintains required records for regulatory compliance. We report suspicious activity to appropriate authorities as required by law.

6. DMCA & Intellectual Property

OpenFunds respects intellectual property rights. If you believe your copyright has been infringed on our Platform, please submit a DMCA notice to hello@openfunds.app with: • Identification of the copyrighted work • Identification of the infringing material and its location • Your contact information • A statement of good faith belief • A statement of accuracy under penalty of perjury • Your signature (physical or electronic) We will respond to valid notices promptly.

7. Accessibility

OpenFunds is committed to making our Platform accessible to all users, including those with disabilities. We strive to meet WCAG 2.1 Level AA accessibility standards. If you experience accessibility barriers, please contact hello@openfunds.app and we will work to accommodate your needs.

8. International Use

OpenFunds is operated from the United States. If you access the Platform from outside the United States, you are responsible for compliance with local laws. Campaigns are available internationally subject to applicable laws and payment processor availability. We do not knowingly facilitate campaigns that violate the laws of any jurisdiction.

9. Dispute Resolution

In the event of a dispute between a donor and a campaign organizer, OpenFunds will make reasonable efforts to mediate but is not obligated to resolve disputes. Disputes related to these Terms shall be resolved through binding arbitration in Dallas County, Texas. Class action waivers apply to the extent permitted by law. For issues with payment processing, contact our support team and we will work with our payment partners to resolve the matter.
